    Agreement to These Terms

    These CAST Terms of Service (the "Terms") govern access to and use of CAST, a property intelligence platform operated by Vectis Ventures, LLC, a Florida limited liability company, doing business as Felt & Resin ("Felt & Resin", "we", "us", "our"). CAST stands for Cast-Iron Analysis, Scoring, and Targeting.

    By creating an account, accessing the platform, or completing a purchase, the business on whose behalf you act ("Customer", "you") agrees to these Terms and to the CAST Privacy Policy. If you do not agree, do not access or use CAST.

    CAST is a separate product governed by these Terms. It is not covered by the Felt & Resin Terms of Service, which govern our consulting and market intelligence services. Where the two conflict as to CAST, these Terms control.

  2. 02

    Definitions

    Platform. The CAST web application, its database, maps, scores, filters, exports, documentation, and all related services.

    Records. Property records made available through the Platform, including parcel attributes, owner names and mailing addresses, derived scores, estimated linear footage, estimated opportunity value, and any contact information delivered on request.

    Derived Data. Our proprietary outputs, including the cast-iron probability score, the reline-likelihood score, estimated pipe footage, estimated opportunity value, territory pricing, and any ranking, aggregation, or model output produced by the Platform.

    Export. Any download, copy, transmission, display outside the Platform, or transfer of Records by any means, including screen capture and manual transcription.

    Seat. One authorized individual user credential associated with your account.

    Territory License. A ZIP-code exclusivity license, or a Custom Territory License, purchased under Section 11.

  3. 03

    Eligibility, Accounts, and Seats

    Business use only. CAST is offered exclusively to businesses. You represent that you are at least eighteen years old, that you are acting on behalf of a business, and that you have authority to bind that business to these Terms. CAST is not offered to consumers and is not intended for personal, household, or family use.

    Accounts are per company. Each account belongs to a single company. Your account, lists, marks, and saved work are private to your company. You may not create an account on behalf of, or grant access to, any other company, affiliate, franchisee, joint venture, or contractor without a separate subscription for that entity.

    Seats are personal. Each Seat is assigned to one named individual. Credentials may not be shared, resold, rotated among users, or used concurrently by more than one person. Sharing credentials is a material breach and grounds for immediate termination without refund.

    Additional Seats. Your base subscription includes one Seat. Additional Seats are $9.99 per Seat per month, or $99.90 per Seat per year on annual plans, billed with your subscription and prorated only as Stripe applies proration on the date added.

    Account security. You are responsible for all activity under your account and Seats, including activity by anyone you allow to access them, whether authorized or not. You will notify us immediately at support@feltandresin.com of any suspected unauthorized access.

  4. 04

    Subscriptions, Territory Licenses, and Account Funds

    Subscription plans. Access is sold as a monthly or annual subscription: $99 per month or $990 per year for a single county, plus $49 per month or $490 per year for each additional county, or $499 per month or $4,990 per year for all 67 Florida counties. Subscriptions that began before October 2, 2026 keep their original price until the subscriber changes plans. The All Counties plan includes all 67 Florida counties. Data for an individual county may be temporarily unavailable during scheduled data refreshes or source outages.

    Mailing exports. Subscriptions include a monthly allowance of mailing-address Records: 1,000 Records per month for each county on a county plan, and 10,000 Records per month on an all-counties plan. Subscriptions that began before October 2, 2026 keep their original allowance. Records exported above the allowance are charged at $0.10 per Record. Allowances reset at the start of each monthly billing period and do not roll over.

    Contact data. Phone and email contact information is available on request for homes on a saved list at $2.50 per Record, with a minimum order of 40 Records ($100), paid at the time of request from account funds or by card. We deliver contact data within one business day after payment. Requests paid after 5:00 PM Eastern Time, or on a weekend or U.S. federal holiday, are treated as received on the next business day. Records we cannot match are credited at the per-Record price to your account funds, and that credit is your sole and exclusive remedy for unmatched, incomplete, or inaccurate contact data. Contact data is a Record for all purposes under these Terms, including Sections 6 through 10, and may not be resold, shared, or disclosed to any third party. Numbers flagged "Do Not Call" must not be called. You remain solely responsible for compliance with Do Not Call rules, the Telephone Consumer Protection Act, and the Florida Telephone Solicitation Act as described in Section 10. Contact data is sourced from third-party providers.

    Account funds. Per-Record charges are drawn from prepaid account funds purchased in advance. Account funds are a prepaid balance for use on the Platform. They are not a deposit, not currency, not transferable, have no cash value, and are not redeemable for cash. Account funds are non-refundable and expire twelve months after purchase if unused.

    Price changes. We may change subscription prices, allowances, per-Record charges, and Territory License pricing at any time on thirty days' notice by email or in-app notice. Continued use after the effective date is acceptance. Territory License pricing changes apply at your next annual renewal.

    Taxes. All prices exclude sales, use, and similar taxes. Where we are required to collect tax, it is added to your invoice.

  5. 05

    Billing, Renewal, and No Refunds

    Authorization. You authorize us and our payment processor to charge your payment method for your subscription, Seats, Territory Licenses, account funds, and any per-Record charges, on each renewal date until you cancel. Payments are processed by Stripe, Inc. We do not store full payment card numbers.

    Automatic renewal. Subscriptions renew automatically each month on the same day. Territory Licenses renew automatically each year on their anniversary. Renewal continues until cancelled as provided below.

    Cancellation. You may cancel a subscription at any time from your account. Cancellation takes effect at the end of the then-current billing period. You retain access until that date. Territory Licenses must be cancelled at least thirty days before the annual renewal date, after which the renewal charge is due in full.

    All sales are final. All charges are final and non-refundable. We do not refund or prorate for unused time, unused allowances, expired account funds, counties added or removed, features changed, dissatisfaction with the data, a decision to stop using the Platform, or cancellation before the end of a billing period, except where a refund is required by applicable law.

    Failed payments. If a charge fails, we may suspend access immediately and without notice. Amounts unpaid thirty days after the due date accrue interest at one and one-half percent per month or the highest rate permitted by law, whichever is lower, together with reasonable costs of collection, including attorneys' fees. We currently provide a grace period of three days before suspension for failed renewal payments.

    Chargebacks. You agree to contact support@feltandresin.com to resolve any billing question before initiating a dispute with your card issuer. Initiating a chargeback on a valid charge is a material breach of these Terms. We may suspend or terminate your account immediately upon notice of a chargeback, and we may recover the disputed amount, all processor dispute fees, and our costs of response.

  6. 06

    License Grant

    Subject to your full and continuing compliance with these Terms and payment of all fees, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license, during your paid subscription term, to:

    1) access and view Records and Derived Data within the Platform for the counties covered by your plan; and

    2) Export Records within your allowances and paid per-Record charges, and use those exported Records solely for your own internal business purposes of marketing and selling your own pipe rehabilitation, plumbing, and related services.

    This license grants no other rights. We reserve all rights not expressly granted. No ownership of any Record, Derived Data, database, score, model, or Platform component transfers to you at any time.

  7. 07

    Restrictions on Use

    You will not, and will not permit any Seat holder, employee, contractor, agent, affiliate, or third party to:

    • resell, license, sublicense, rent, lease, syndicate, broker, publish, distribute, or otherwise make available any Record or Derived Data to any third party, whether for consideration or not;
    • use any Record or Derived Data on behalf of, or for the benefit of, any person or business other than your own company;
    • incorporate any Record or Derived Data into any product, service, application, database, list, or report offered or made available to any third party;
    • use any Record or Derived Data to train, fine-tune, evaluate, or develop any machine learning model, artificial intelligence system, scoring model, or algorithm;
    • scrape, crawl, spider, harvest, index, or use any automated means to access the Platform or extract Records, or access the Platform other than through the interface we provide;
    • circumvent, disable, or attempt to exceed any Export allowance, rate limit, county restriction, Seat limit, access control, or security measure;
    • reverse engineer, decompile, disassemble, or attempt to derive the source code, database structure, scoring methodology, model weights, or formulas of the Platform, or reconstruct any portion of the database from Exports;
    • use the Platform to compete with us, to build or assist in building a competing product or dataset, or to benchmark the Platform for a competitor;
    • remove, obscure, or alter any proprietary notice, watermark, attribution, or tracking identifier embedded in the Platform or in any Export;
    • use the Platform or any Record for any unlawful purpose, or in any manner that violates Section 8 or Section 9; or
    • permit any of the foregoing to occur through your account, whether by act or omission.

    Seeded records and tracking. Exports may contain seeded records, unique identifiers, and other watermarking used solely to detect unauthorized redistribution. You will not attempt to identify, remove, or strip such elements.

    Liquidated damages. You acknowledge that unauthorized redistribution of Records and Derived Data causes harm that is difficult to quantify. For each Record redistributed, disclosed, or used in breach of this Section, you will pay us $50.00 per Record as liquidated damages, or our actual damages, whichever is greater. The parties agree this amount is a reasonable estimate of probable loss and is not a penalty. This remedy is in addition to injunctive relief and termination.

    Injunctive relief. You agree that a breach of Section 6 or Section 7 would cause irreparable harm for which monetary damages are inadequate, and that we are entitled to seek injunctive relief and specific performance without posting a bond and without proving actual damages.

  8. 08

    Not a Consumer Reporting Agency

    FCRA status. Felt & Resin is not a consumer reporting agency as defined by the Fair Credit Reporting Act, 15 U.S.C. § 1681 et seq. ("FCRA"), and the Platform does not provide consumer reports, investigative consumer reports, or consumer credit information. Records and Derived Data have not been collected, assembled, or evaluated for the purpose of establishing a consumer's eligibility for anything.

    Prohibited eligibility uses. You will not use, and will not permit any person to use, any Record or Derived Data, in whole or in part, as a factor in establishing an individual's eligibility for: credit or insurance to be used primarily for personal, family, or household purposes; employment, promotion, reassignment, or retention as an employee; housing, tenancy, or rental; a government license or benefit; or any other purpose regulated by the FCRA or any comparable state law.

    Sole responsibility. You are solely responsible for determining whether your intended use is lawful. We make no representation that any Record is accurate, complete, or suitable for any purpose, and we expressly disclaim any obligation under the FCRA. Your breach of this Section is a material breach and permits immediate termination without refund.

  9. 09

    Your Compliance Obligations

    You bear sole and exclusive responsibility for the lawfulness of every use you make of Records, including every call, text message, email, mailing, and advertisement you send. Without limiting that responsibility:

    Telephone and text. You are solely responsible for compliance with the Telephone Consumer Protection Act, 47 U.S.C. § 227, and its implementing regulations; the Florida Telephone Solicitation Act, Fla. Stat. § 501.059, including its prior express written consent requirements for automated or prerecorded calls and text messages; and all comparable federal and state laws. Records are not, and must not be treated as, evidence of consent to be contacted by any means.

    Do Not Call. You are solely responsible for scrubbing against the National Do Not Call Registry, the Florida Do Not Call list, any applicable state registry, and your own internal do-not-call list, before initiating any telephone solicitation. Any Do Not Call scrubbing offered through the Platform is an optional convenience, is not a compliance service, and does not shift responsibility to us.

    Email. You are solely responsible for compliance with the CAN-SPAM Act and applicable state email laws. Appended email addresses, where provided, are licensed for use in advertising audience matching only, such as Meta Custom Audiences and Google Customer Match, and are not licensed for cold email solicitation.

    Mail and advertising. You are solely responsible for the content, claims, licensing disclosures, and legality of every advertisement, mailing, or solicitation you produce using Records.

    Licensing. You represent that you hold every license, registration, and bond required to perform the services you market using the Platform in every jurisdiction where you market them.

    No legal advice. Nothing in the Platform, our documentation, or any communication from us constitutes legal advice. Consult your own counsel before conducting any outreach campaign.

  10. 10

    Data, Scores, and Estimates

    Public and licensed sources. Records are compiled from public records, including county property appraiser and state cadastral data, and from third-party data licensed to us. Source data is maintained by others, is updated on schedules outside our control, and frequently contains errors, omissions, and stale values.

    Scores are opinions, not facts. The cast-iron probability score, the reline-likelihood score, and every related indicator are statistical estimates and expressions of opinion derived from modeled inference. They are not statements of fact about any property, are not the result of any inspection, and must not be represented to any third party as a determination that a particular property does or does not contain cast iron pipe.

    Footage and value estimates are modeled. Estimated linear footage and estimated opportunity value are calculated from a formula applied to property attributes. They are not measurements, not takeoffs, not estimates of work, and not quotations. They must never be used as the basis of a price given to a property owner, and must not be presented to any third party as a scope of work or a bid.

    No verification duty. We have no obligation to verify, inspect, correct, update, or refresh any Record, and no obligation to notify you of a change to any Record.

    Your verification duty. You are responsible for independently verifying any Record before relying on it, including before contacting a property owner, entering a property, quoting work, or performing any service.

    Coverage. Coverage, completeness, attribute availability, and score availability vary by county and change over time. Aggregate figures displayed publicly or within the Platform, including counts of homes and estimated opportunity values, are approximations computed on a periodic basis and may be materially inaccurate at any moment.

  11. 11

    Territory Licenses

    What a Territory License is. A Territory License grants you, for its annual term, the exclusive right among CAST customers to view and Export Records within a specified ZIP code, and suspends our sale of that ZIP code to any other customer during the term. It is a contractual limitation on our own sales conduct. It is not a grant of any exclusive right in the underlying data, in the market, or in any territory.

    Pricing. Territory Licenses are priced at $2.00 per qualifying home within the ZIP code per year, subject to a minimum of $1,000 per ZIP code per year. Qualifying home counts are determined by us from the Platform at the time of purchase and at each renewal, and may change between terms.

    Term and renewal. Territory Licenses are annual and renew automatically unless cancelled at least thirty days before the anniversary date. Cancellation releases the ZIP code for sale to others immediately upon expiry.

    Requirements. A Territory License requires an active subscription covering the county containing the ZIP code. If your subscription lapses, is suspended, or is terminated for any reason, the Territory License terminates immediately with no refund and the ZIP code is released.

    What it does not include. A Territory License does not restrict any person outside CAST, does not prevent any other contractor from working in the ZIP code, does not prevent us from serving customers whose service areas overlap the ZIP code, and does not create any right of first refusal, right of renewal at a fixed price, franchise, dealership, or distributorship.

    Custom Territory Licenses. You may also purchase a Custom Territory License by drawing a boundary on the Platform map. A Custom Territory License grants you, for its annual term, the exclusive right among CAST customers to view and Export Records for qualifying homes inside the boundary you draw, on the same terms, limitations, and exclusions that apply to a Territory License under this Section 11.

    Custom Territory pricing and limits. Custom Territory Licenses are priced at $3.00 per qualifying home within the boundary per year, subject to a minimum of $500 per territory per year. A Custom Territory must contain at least 25 and no more than 5,000 qualifying homes, must lie within counties covered by your active subscription, and may not include any home already covered by another customer's Territory License or Custom Territory License. Qualifying home counts are determined by us from the Platform at the time of purchase and at each renewal, and may change between terms.

    Custom Territory term and renewal. Custom Territory Licenses are annual, renew automatically, and follow the cancellation, requirements, and termination provisions that apply to Territory Licenses under this Section 11.

  12. 12

    Intellectual Property

    Our property. The Platform, the database as compiled, all Derived Data, the scoring methodology and formulas, the map styling, the software, the documentation, and the Felt & Resin and CAST names, marks, and logos are owned by Vectis Ventures, LLC and are protected by copyright, trademark, trade secret, and database rights. Nothing in these Terms grants you any right in them.

    Your content. Lists, marks, notes, and other content you create within the Platform remain yours. You grant us a non-exclusive license to host, store, process, and display that content as necessary to operate the Platform and as described in the CAST Privacy Policy.

    Feedback. If you provide suggestions, feature requests, or other feedback, you grant us an unrestricted, perpetual, irrevocable, royalty-free right to use and commercialize it without attribution or compensation.

    Aggregate and usage data. We may collect, use, and publish aggregated and de-identified usage and performance data derived from your use of the Platform, provided it does not identify you or your company.

  13. 13

    Confidentiality

    Each party will keep the other's non-public business information confidential, use it only to perform or receive the services, and protect it with at least reasonable care. The Platform, its non-public features, our pricing other than published list pricing, and our methodology are our Confidential Information. This obligation does not cover information that is public through no fault of the receiving party, was already known to it without restriction, is independently developed without reference to the disclosing party's information, or is required to be disclosed by law after notice where lawful. This Section survives for three years after termination, and indefinitely as to trade secrets.

  14. 14

    Audit and Monitoring

    Monitoring. We monitor Platform usage, including Export volume, query patterns, access locations, and Seat activity, to enforce these Terms, protect the database, and detect unauthorized use.

    Audit right. On five business days' written notice, and not more than twice in any twelve-month period absent suspected breach, you will provide records and reasonable cooperation sufficient for us to verify your compliance with Sections 6, 7, 8, and 9, including the identity of Seat holders and the disposition of exported Records. If an audit reveals a material breach, you will reimburse our reasonable costs of the audit in addition to all other remedies.

  15. 15

    Suspension and Termination

    Suspension. We may suspend your access, any Seat, or any Export capability immediately and without prior notice if we reasonably suspect a breach of these Terms, unauthorized access, non-payment, a chargeback, unlawful use, or a risk to the Platform, the data, or another customer. Suspension does not relieve you of any payment obligation and does not entitle you to any refund or credit.

    Termination by you. You may terminate by cancelling your subscription as provided in Section 5.

    Termination by us. We may terminate these Terms and your account at any time, for any reason or no reason, on thirty days' notice, or immediately and without notice for any breach of Sections 6, 7, 8, or 9, for non-payment, for a chargeback, or if you become insolvent or cease business.

    Effect of termination. On termination, your license under Section 6 ends and all access ceases. Amounts owed remain due. Account funds and Territory Licenses expire without refund. You may continue to use Records you lawfully exported before termination solely for your own internal marketing, subject to Sections 7, 8, and 9, which continue to apply to those Records indefinitely. You may not Export, copy, or extract anything after termination.

    Survival. Sections 4 through 10 and 12 through 21 survive termination, together with any provision that by its nature should survive.

  16. 16

    Disclaimers

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM, ALL RECORDS, AND ALL DERIVED DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. WE EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, AND STATUTORY, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, CURRENCY, OR QUIET ENJOYMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.

    WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR FREE, THAT ANY RECORD OR SCORE IS ACCURATE OR CURRENT, THAT ANY COUNTY WILL BE AVAILABLE OR REMAIN AVAILABLE, THAT ANY CONTACT INFORMATION IS VALID OR REACHABLE, OR THAT USE OF THE PLATFORM WILL PRODUCE ANY LEAD, APPOINTMENT, SALE, OR RETURN.

    WE MAKE NO REPRESENTATION REGARDING THE LAWFULNESS OF YOUR INTENDED USE AND PROVIDE NO COMPLIANCE, LEGAL, OR REGULATORY SERVICE OF ANY KIND.

  17. 17

    Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW:

    1. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS, THE PLATFORM, OR ANY RECORD, WHETHER IN CONTRACT, TORT, STATUTE, OR OTHERWISE, WILL NOT EXCEED THE AMOUNTS YOU ACTUALLY PAID US IN THE THREE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM;

    2. WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOST OPPORTUNITY, LOST OR CORRUPTED DATA, BUSINESS INTERRUPTION, REGULATORY FINES OR PENALTIES, STATUTORY DAMAGES, OR THE COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY; AND

    3. WE WILL NOT BE LIABLE FOR ANY CLAIM ARISING FROM YOUR OUTREACH, YOUR ADVERTISING, YOUR ENTRY ONTO ANY PROPERTY, ANY WORK YOU PERFORM, ANY RELIANCE ON A SCORE OR ESTIMATE, OR ANY ACT OR OMISSION OF A THIRD-PARTY DATA SOURCE.

    THESE LIMITATIONS APPLY IN THE AGGREGATE, APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE, AND ARE AN ESSENTIAL BASIS OF THE BARGAIN. THEY DO NOT LIMIT LIABILITY THAT CANNOT BE LIMITED BY LAW.

  18. 18

    Indemnification

    You will defend, indemnify, and hold harmless Vectis Ventures, LLC and its members, managers, officers, employees, contractors, licensors, and data suppliers from and against any and all claims, demands, actions, investigations, proceedings, damages, judgments, settlements, fines, penalties, losses, liabilities, and costs, including reasonable attorneys' fees and costs of defense, arising out of or relating to:

    • your use of the Platform, any Record, or any Derived Data;
    • any call, text message, email, mailing, or advertisement you send, including any claim under the Telephone Consumer Protection Act, the Florida Telephone Solicitation Act, any Do Not Call law, the CAN-SPAM Act, or any comparable federal or state law, and including statutory damages and class claims;
    • any use of a Record for an eligibility purpose, or any claim under the FCRA or a comparable state law;
    • your breach of these Terms, including any unauthorized redistribution;
    • any work you perform, any property you enter, any representation you make to a property owner, and any quotation or price you give; or
    • your violation of any law or the rights of any third party.

    We will notify you of any claim for which we seek indemnity and may, at our option and your expense, assume sole control of the defense and settlement. You may not settle any claim in a manner that admits fault on our behalf, imposes any obligation on us, or fails to release us fully, without our prior written consent.

  19. 19

    Dispute Resolution and Governing Law

    Informal resolution first. Before filing any claim, the initiating party must send written notice describing the dispute to the other and allow thirty days to resolve it.

    Governing law. These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws rules, and without application of the United Nations Convention on Contracts for the International Sale of Goods.

    Venue. Any action arising out of or relating to these Terms or the Platform will be brought exclusively in the state or federal courts located in Miami-Dade County, Florida. Each party consents to personal jurisdiction there and waives any objection based on forum non conveniens.

    Jury waiver. TO THE FULLEST EXTENT PERMITTED BY LAW, EACH PARTY IRREVOCABLY WAIVES ANY RIGHT TO TRIAL BY JURY.

    Class waiver. TO THE FULLEST EXTENT PERMITTED BY LAW, EACH PARTY MAY BRING CLAIMS ONLY IN ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE COURT MAY NOT CONSOLIDATE MORE THAN ONE PARTY'S CLAIMS.

    Limitations period. Any claim must be brought within one year after it accrues, or it is permanently barred, to the extent that period may lawfully be shortened.

    Attorneys' fees. The prevailing party in any action to enforce these Terms is entitled to recover its reasonable attorneys' fees and costs, including on appeal.

    Equitable relief. Nothing in this Section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or Confidential Information.

  20. 20

    Changes to the Platform and These Terms

    The Platform. We may add, change, suspend, or discontinue any feature, county, data source, score, export format, or allowance at any time, with or without notice. We are not liable to you for any such change.

    These Terms. We may update these Terms by posting a new version with a new effective date. Material changes take effect at your next renewal after posting. Continued use or renewal after that date is acceptance. If you do not accept a change, your sole remedy is to cancel before the effective date.

  21. 21

    General

    Electronic agreement. Checking a box, clicking a button, or completing checkout is a valid signature. Notices to you may be delivered electronically to the email address on your account.

    Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including data source outages, provider failures, internet failures, government action, labor disputes, weather, or epidemics, except for payment obligations.

    Independent contractor. The parties are independent contractors. Nothing creates an employment, agency, partnership, joint venture, franchise, or fiduciary relationship.

    Assignment. You may not assign these Terms, by operation of law or otherwise, including in connection with a change of control, without our prior written consent. We may assign freely. Any attempted assignment in breach is void.

    No third-party beneficiaries. Except for our licensors and data suppliers, who are intended beneficiaries of Sections 7, 8, 16, 17, and 18, these Terms create no third-party rights.

    Entire agreement. These Terms and the CAST Privacy Policy are the entire agreement as to the Platform and supersede all prior discussions, proposals, and representations. Any purchase order, vendor form, or other document you issue is of no effect, and its terms are rejected.

    Severability and waiver. If any provision is unenforceable, it is modified to the minimum extent necessary or severed, and the remainder stays in effect. A failure to enforce any provision is not a waiver of it.

    Headings. Headings are for convenience only and do not affect interpretation.
